Terms of Service

Agreement

These Terms of Service ("Terms") govern your use of Vaulra, a personal budget tracking application available at vaulra.app ("Service"), operated by Retayl Inc. ("we", "us", "our"), trading as Vaulra. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

What Vaulra Is

Vaulra is a personal budget tracking application that uses the envelope budgeting method. You define budget envelopes, record income and expenses, transfer funds between envelopes, and review spending patterns over time.

Vaulra is a planning and tracking tool. It does not connect to bank accounts, process payments on your behalf, move money between accounts, or provide financial advice. Vaulra is not a bank, financial institution, investment advisor, credit counsellor, or money services business. Nothing in the Service constitutes financial, tax, investment, or legal advice. You are solely responsible for your financial decisions.

Eligibility

You must be at least 13 years of age to use Vaulra. If you are under 18, you represent that you have your parent or guardian's consent to use the Service. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has created an account, we will take steps to delete that account and associated data.

Your Account

You may sign in with email and password or through Google authentication. You are responsible for maintaining the security of your account credentials. Each account is personal — do not share your credentials with others.

You must provide accurate information when creating your account. We reserve the right to suspend or terminate accounts that contain materially false information or that violate these Terms.

Subscription Plans and Billing

Free Access and Founding Member Period: Vaulra may offer free access periods, including a founding member period for early users. During a free access period, you have full access to the Service at no cost. Free access periods have a defined end date, which will be communicated to you in advance via email and in-app notifications.

Paid Subscription Plans: When a paid subscription is required, subscriptions are billed on a recurring monthly basis at the price displayed before checkout. Prices are listed in CAD and USD. Payments are processed by third-party payment providers (currently Helcim and/or Stripe). Vaulra does not collect, transmit, or store your credit card number, debit card number, or bank account details. Your subscription renews automatically each billing period until you cancel.

Price Changes: We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period. Your continued use after a price change constitutes acceptance of the new price.

Founding Member Discount: Users who subscribed during the founding member period receive a permanent 50% discount on the Vaulra Pro plan. The discount is a recurring 50% reduction applied to the then-current list price at each billing cycle. The discount is tied to your account and is non-transferable. If you cancel and later resubscribe, the discount will be reapplied provided your account retains founding member status.

Cancellation: You may cancel your subscription at any time through the subscription management interface in your account Settings. Cancellation takes effect at the end of your current billing period — you retain access until then. No partial refunds are issued for unused portions of a billing period. If a self-service cancellation option is not available, you may cancel by contacting support@vaulra.com.

Failed Payments and Grace Period: If a payment fails, we will attempt to collect payment according to the retry schedule of your payment provider. During this period (up to 7 days), your access continues. If payment is not resolved within the grace period, your subscription will be cancelled and access to paid features will be restricted.

Access After Subscription Ends: When your subscription ends, you will no longer have access to paid features. Your data is retained and you may export it. You may resubscribe at any time to restore full access.

Your Data

You own the budget data you enter into Vaulra, including income entries, expenses, envelopes, sub-envelopes, fund transfers, recurring templates, and budget month records.

Your data rights include:

  • Export: you can export your data at any time using the JSON or CSV export features in Settings
  • Storage: we store your data in Google Cloud Firestore to provide the Service, scoped to your authenticated user ID with per-user isolation enforced by database security rules
  • No selling: we do not sell, rent, or share your budget data with third parties for marketing or advertising purposes
  • Deletion: if you delete your account, we will delete your user profile and all associated budget data — billing records may be retained as required by applicable tax and financial record-keeping laws

Shared Budgets

When you create a shared budget and invite members, you are responsible for configuring their visibility and permissions. Members you invite will be able to view and potentially edit budget data according to the visibility profile you set. You can modify or revoke access at any time.

Members of a shared budget agree to use the data they can access only for its intended budgeting purpose. For shared budgets, data exports include only data within your visibility scope.

AI Features

Vaulra offers optional AI-powered features such as envelope recommendations and monthly review summaries. These features analyze your budget data to surface patterns and suggestions.

When using AI features:

  • AI-generated content is informational only and should not be treated as financial advice
  • Relevant budget data is sent to a third-party AI provider (currently Google Gemini via Vertex AI) through server-side Cloud Functions — your data is never sent directly from your browser to an AI provider
  • We do not send your email address or personal identity to the AI provider
  • You are responsible for all budgeting decisions, regardless of AI suggestions

Acceptable Use

You agree not to:

  • Use Vaulra for any unlawful purpose
  • Attempt to access other users’ data without authorization
  • Interfere with or disrupt the Service infrastructure
  • Reverse-engineer, decompile, or extract source code from the application
  • Use automated tools to scrape or collect data from the Service
  • Circumvent or attempt to circumvent subscription enforcement, access controls, or payment mechanisms
  • Create multiple accounts to abuse free access periods or promotional offers
  • Impersonate another person or misrepresent your affiliation with any person or entity

Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Vaulra and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

You retain ownership of the budget data you enter. By using the Service, you grant us a limited licence to store, process, and display your data solely to provide and improve the Service.

Service Availability

We aim to keep Vaulra available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service downtime.

Limitation of Liability

Vaulra is provided "as-is" and "as-available." We make no warranties, express or implied, regarding the accuracy of calculations, the availability of the Service, or its fitness for any particular financial purpose.

To the maximum extent permitted by applicable law:

  • Vaulra and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total aggregate liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 CAD, whichever is greater
  • We are not liable for any financial loss, missed payment, budget miscalculation, or financial decision made in reliance on the Service or its AI features

Data Retention

Active accounts: your budget data is retained for as long as your account is active. Historical budget months are preserved indefinitely to support analytics and trend tracking.

Deleted accounts: upon account deletion, we delete your user profile and budget data. Billing and transaction records may be retained for up to 7 years as required by applicable tax record-keeping obligations (including CRA requirements for Canadian businesses). Retained billing records will be anonymized while preserving financial records required for compliance.

Third-Party Services

Vaulra relies on the following third-party services to operate:

  • Firebase Authentication — account management and sign-in
  • Google Cloud Firestore — data storage
  • Firebase Cloud Functions — server-side processing
  • Google Vertex AI (Gemini) — AI-powered budget insights
  • Resend — transactional email delivery
  • Helcim and/or Stripe — payment processing

Each service operates under its own terms and privacy policy. We are not responsible for the practices of third-party service providers.

Termination

You may stop using Vaulra and delete your account at any time. If you have an active subscription, cancelling your account also cancels your subscription at the end of the current billing period.

We may suspend or terminate your access if you violate these Terms. In the event of termination for cause, we will provide notice and an opportunity to export your data before account deletion, except where immediate termination is necessary to prevent harm to the Service or other users.

Dispute Resolution

Governing Law: these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Informal Resolution: before initiating any formal proceeding, you agree to contact us at legal@vaulra.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction: any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, located in Toronto.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. For future material changes (including changes to pricing, billing terms, or your rights), we will provide at least 30 days' notice via email or in-app notification before the changes take effect. Continued use of Vaulra after the notice period constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vaulra regarding your use of the Service.
